In the unfortunate circumstances of a business in financial difficulty, an accelerated M&A process can sometimes be the best way to realise value for the shareholders and creditors of the company without destroying its inherent value. The sale process requires a swift, but discrete approach, as openly marketing a distressed business can significantly reduce the value that can be achieved. Once information is leaked into the public domain, concerns can grow amongst customers and employees over the ongoing viability of the company, with credit lines often withdrawn by suppliers and funders, forcing the company into administration or liquidation.
